Opener Terms of Use

Version 2026-10-25 · Effective from 25 October 2026

This English version is the governing text; the Czech version is a translation.

1. Who we are and what these Terms cover

1.1 The Opener service is operated by AMG Ascenta Management Group s.r.o., Company ID (IČO) 07958749, with its registered office at Radlická 663/28, Smíchov, 150 00 Prague 5, registered in the Commercial Register maintained by the Municipal Court in Prague, Section C, Insert 310525 (“we”, “Opener”).

1.2 The Opener service includes the web application at app.opener.team, the calling surface for call teams at app.callers.team, the Opener Team browser extension, the interface for connecting AI applications (MCP), in-app support and related features (the “Service”).

1.3 These Terms, together with their Annexes, form the agreement between us and the Customer (the “Agreement”). Annexes:

  • Annex 1: Data Processing Agreement (DPA),
  • Annex 2: List of Subprocessors,
  • Annex 3: Acceptable Use Policy.

In case of conflict, the DPA prevails in matters of personal data; otherwise these Terms prevail.

2. Definitions

  • Customer: an organization, a self-employed individual or a consumer for whom a Workspace is set up.
  • Workspace: a separate part of the Service containing the data of one Customer (a team, a company or an individual).
  • Workspace Admin: a User with the owner or admin role who manages the Workspace on behalf of the Customer.
  • User: a natural person with an account whom the Customer has invited to the Workspace (a team member, a caller).
  • Customer Data: all content that the Customer or its Users enter into the Service or that is created through their activity in it: contacts, companies, activities, notes, messages, documents, call logs and the like.
  • Credits: units used to pay for AI features.
  • Read-only mode: a state of the Workspace in which data can be viewed and exported but not changed.

3. Conclusion of the Agreement

3.1 The Agreement is concluded when the person setting up the Workspace (or accepting an invitation to the beta) confirms in the application that they agree to the Terms and the Annexes.

3.2 Any person who accepts the Agreement on behalf of an organization represents that they are authorized to act on its behalf.

3.3 The Service may be used by businesses, organizations and consumers (natural persons who use it outside their business, for example individuals building their network of contacts). Article 18 also applies to consumers, and the provisions of these Terms apply to them only to the extent permitted by consumer protection law.

3.4 A User invited by the Customer confirms on first sign-in that they have read the Acceptable Use Policy and the Privacy Policy. The contracting party is nevertheless the Customer.

4. Beta, trial period and payment

4.1 The Service is in beta. Workspaces that we invite to the beta (“beta workspaces”) use it free of charge until further notice, subject to the limits shown in the application (for example a daily limit on AI queries or the number of members).

4.2 During the beta, we provide the Service as is, without any warranty of availability and without any guaranteed service level, including in paid Workspaces. Features may be changed, restricted or discontinued.

4.3 We may end the free use of a beta workspace by giving at least 30 days’ notice. The Customer may then switch to a subscription; otherwise the Workspace switches to read-only mode under Article 12.3. In the event of a breach of the Acceptable Use Policy, we may restrict access immediately.

4.4 A Workspace’s trial period is started, and where applicable extended, by us. It is free of charge, requires no payment card, includes full functionality and comes with credits for trying out AI. If the Customer has no subscription when the trial period ends, the Workspace switches to read-only mode under Article 12.3.

4.5 Nothing is charged without an order. Payment begins only when a Workspace Admin orders a subscription or credits.

4.6 Subscriptions and credits are sold by Stripe (Stripe’s Link service, “Stripe”). The order is placed on Stripe’s payment page. Stripe accepts the payment, issues invoices and receipts and collects taxes, in each case under its own terms, which the Customer accepts when placing the order. Use of the Service is governed by these Terms.

4.7 The price is charged per seat: each member of the Workspace is one seat. It is paid monthly or annually according to the price list displayed before the order. Prices are exclusive of VAT; Stripe adds tax according to the Customer’s country. The seat price includes a monthly allowance of credits; any unused allowance expires at the end of the month. Purchased additional credits do not expire.

4.8 The subscription renews automatically for the same period until the Workspace Admin cancels it. Inviting a member increases the number of seats immediately, and the pro rata part of the price is charged with the next payment. Removing a member reduces the price from the next period.

4.9 The subscription may be cancelled at any time in billing management. Cancellation takes effect at the end of the paid period; until then, the Workspace remains fully functional. Thereafter, it switches to read-only mode under Article 12.3. Neither the paid period nor unused purchased credits are refunded, unless the law provides otherwise (for consumers, Article 18).

4.10 If a payment fails, Stripe retries it for approximately two weeks. In the meantime, the Workspace continues to work and the Workspace Admin sees a notice. The Workspace then switches to read-only mode under Article 12.3; full operation is restored once payment is made.

4.11 We will notify the Workspace Admin of any price change at least 30 days in advance. The change takes effect from the next subscription period; anyone who does not agree with it may cancel the subscription.

5. Accounts and access

5.1 Users can sign in with a Google account or with a one-time code sent by email. Each User must protect their access and their extension token and must notify us of any loss without undue delay.

5.2 The Workspace Admin decides whom to invite to the Workspace, what role to give them, which features to turn on or off (AI, the extension, MCP, collaboration with a call team) and when to remove access.

5.3 The Customer is responsible for the conduct of its Users in the Service as for its own conduct.

6. Customer Data

6.1 Customer Data belongs to the Customer. The Customer grants us only the right to use it to the extent necessary to provide, secure and support the Service.

6.2 We process personal data contained in Customer Data as a processor under Annex 1. The Customer is its controller.

6.3 We do not use Customer Data for our own purposes. In particular, we do not:

  • combine it into a shared database of people or companies across Workspaces,
  • use it to enrich the data of other customers,
  • use it to train artificial intelligence models, nor do we allow AI providers to do so,
  • sell it or use it for advertising.

6.4 We may create aggregated and anonymous statistics from the operation of the Service (for example the number of activities per week or feature usage) from which no Customer, User or contact can be identified, and use them to develop and improve the Service. The content of the data (texts of notes, documents, contact details) is not included in the statistics.

6.5 The Customer may export Customer Data at any time during the term of the Agreement, to the extent of the export features. After the Agreement ends, we proceed in accordance with Article 12.

7. Artificial intelligence features

7.1 AI in a Workspace is turned on and off by the Workspace Admin. It is turned off by default.

7.2 When AI is turned on, parts of Customer Data (the text of documents, notes and messages, the question, and contact details needed for the answer) are transferred to the AI providers listed in Annex 2. The providers do not use them to train models.

7.3 AI outputs may be incomplete or inaccurate. The Customer must verify them before use, in particular before making a decision about a person. AI in the Service does not make automated decisions with legal effects.

7.4 AI features are paid for with credits (Article 4.7). Daily limits apply in a beta workspace.

8. Browser extension and LinkedIn

8.1 The Opener Team browser extension is a recording tool. It reads only pages that the User opens themselves, and it writes into the Service only what the User confirms. It does not send anything or invite anyone on the User’s behalf, does not browse pages by itself and does not read in the background.

8.2 The Service is not a LinkedIn product and is not affiliated with LinkedIn. The Customer and its Users are responsible for using the Service and the extension in compliance with the terms of LinkedIn and other websites. The risk of account restrictions on LinkedIn is borne by the User and the Customer.

9. Integrations and MCP

9.1 Connecting AI applications via MCP is enabled in a Workspace by default, and the Workspace Admin may turn it off. The User connects the chosen application (for example Claude or ChatGPT) and approves its access themselves. The application can then only read the data that the User can see in the Service, excluding phone numbers and email addresses.

9.2 The provider of such an application is not our subprocessor. Transferring data to it is an instruction of the Customer and its User; the Customer is responsible for the contractual and legal terms of that application.

10. Calling (Callers)

10.1 The Customer may invite a call team (an agency or the Customer’s own team, in a Caller workspace) to work on its contacts. The call team sees only the contacts that the Customer assigns to it, and only the fields intended for calling.

10.2 The call team processes personal data for the Customer as the Customer’s processor. When accepting the collaboration, it confirms the Call Team Processing Clause. The Customer is responsible for having an appropriate agreement in place with the call team; the Clause may replace or supplement such agreement.

10.3 Data about the callers’ work (time tracking, actions taken on contacts) is stored in the Customer’s Workspace and is visible to both the Customer and the call team lead. The call team informs its callers of this.

11. Customer obligations

In particular, the Customer:

  • has a legal basis for processing the personal data of contacts and informs contacts in accordance with Art. 14 GDPR,
  • handles requests from contacts (access, rectification, erasure, objection); we will assist the Customer with this in accordance with the DPA,
  • respects the “do not contact” flag and the rules on commercial communications,
  • complies with the Acceptable Use Policy (Annex 3),
  • does not enter into the Service special categories of personal data (health, religion and the like) or data relating to criminal offences, unless this is necessary and lawful.

12. Term and termination

12.1 The Agreement is concluded for an indefinite period. The Customer may terminate it at any time by cancelling the subscription or by notice sent to contact@opener.team. We may terminate it with a notice period of 30 days, and with immediate effect in the event of a material breach.

12.2 When the Agreement ends (for a subscription, at the end of the paid period), the Workspace switches to read-only mode under Article 12.3.

12.3 In read-only mode, data is retained for 90 days. The Customer may view and export it and may return to full operation by paying for a subscription. Before the period expires, we will notify the Workspace Admin by email. After 90 days, we will delete the Workspace together with the Customer Data. Backup copies expire in the ordinary cycle no later than 30 days thereafter. This does not apply to data that we are required by law to retain.

13. Availability and support

During the beta, there is no guaranteed availability (Article 4). Support is provided via chat in the application and by email at contact@opener.team. We announce planned outages in the application where possible.

14. Intellectual property

The Service, its software, design and the Opener brand belong to us or to our licensors. The Customer obtains a non-exclusive, non-transferable right to use the Service for the term of the Agreement. We may freely use any suggestions for improvement that the Customer sends us.

15. Confidentiality

Each party protects the confidential information of the other party and uses it only to perform the Agreement. Customer Data is always confidential.

16. Liability

16.1 We are not liable for damage caused by the content of Customer Data, by the conduct of Users, by AI outputs used without verification, or for restrictions of accounts with third parties (Article 8).

16.2 Our total liability under the Agreement is limited to the higher of the following amounts: the price paid by the Customer for the Service in the 12 months preceding the event that caused the damage, or EUR 100. This limitation does not apply to damage caused intentionally or through gross negligence, to harm to a person’s natural rights (personal injury and similar), or where the law does not permit it.

17. Changes to the Terms

17.1 We will notify the Workspace Admin of any material change to the Terms or the Annexes in the application and by email at least 30 days in advance. At the next sign-in after the change takes effect, we will ask for renewed acceptance. A Customer who does not agree with the change may terminate the Agreement under Article 12. Until someone accepts the change on behalf of the Customer, Workspace administration (inviting members, changing settings) may be restricted after 30 days from the effective date; use of the Service and data export remain available.

17.2 We give notice of changes to the List of Subprocessors in accordance with the DPA.

17.3 We publish minor changes (correction of errors, clarifications with no impact on the Customer’s rights) with a new version, without requiring renewed acceptance.

18. Consumers

18.1 A consumer may withdraw from an Agreement concluded at a distance within 14 days of its conclusion without giving any reason (Section 1829 of the Czech Civil Code (Act No. 89/2012 Coll.)). If the consumer expressly requests that the paid Service begin before the withdrawal period expires, the consumer will pay a proportionate part of the price for the period up to withdrawal. Refunds of subscription payments are made by the seller (Stripe, Article 4.6).

18.2 A consumer has rights in respect of defective performance of a digital service under Sections 2389a et seq. of the Civil Code. The provisions on limitation of liability (Article 16) apply to consumers only to the extent permitted by law.

18.3 We always notify consumers of changes to the Terms (Article 17) in advance and with the right to terminate the Agreement without penalty.

18.4 Out-of-court dispute resolution: Czech Trade Inspection Authority (Česká obchodní inspekce), adr.coi.cz.

18.5 The choice of law and court under Article 19 does not deprive a consumer of the protection afforded by the mandatory provisions of the law of the state of their habitual residence, nor of the right to bring proceedings before the courts of that state.

19. Governing law, language and disputes

19.1 The Agreement is governed by the law of the Czech Republic.

19.2 These Terms and their Annexes are governed by the English version. The Czech and any other language versions are translations; in case of conflict the English version prevails.

19.3 Disputes with businesses are decided by the general courts of the Czech Republic; the court with local jurisdiction is the court competent for our registered office.
